BOI Reporting Requirement on Hold: What Business Owners Need to Know


 

In an effort to strengthen financial transparency and prevent illicit activities such as money laundering, the Financial Crimes Enforcement Network (FinCEN) initially introduced a new requirement for business owners: the Beneficial Ownership Information (BOI) Report. This report aimed to enhance corporate transparency by requiring businesses to disclose information about their beneficial owners.


Who Needs to File?


When first implemented, the requirement established key filing deadlines:


  • Existing Businesses (before January 1, 2024): These entities were to file their BOI reports by January 1, 2025.

  • New Businesses (on or after January 1, 2024): These businesses had 90 calendar days to file their BOI reports after receiving public notice of the company’s creation.

  • Future Creations (after January 1, 2025): For businesses established in this period, there was a 30-day window to file following the public notice of the company’s establishment.


Failing to meet these deadlines could have led to penalties, stressing the importance of timely compliance.


Recent Legal Update


However, in a significant development, a federal district court in Texas issued a nationwide preliminary injunction on December 3, 2024. This injunction prevents the enforcement of the BOI reporting requirements set forth by the Corporate Transparency Act (CTA). The court ruled that Congress had overstepped its authority with the CTA, thereby infringing on states' rights to regulate businesses.


This ruling, encapsulated in the case Texas Top Cop Shop v. Garland, immediately put the requirement to file BOI reports on hold for all businesses. The decision is likely to be appealed, but for now, businesses are not required to submit BOI reports to FinCEN.

The introduction of the BOI filing requirement signified the U.S. government's commitment to combating financial crime. The Corporate Transparency Act's purpose was to deter fraud and increase corporate transparency, ensuring that businesses operated with greater integrity.
